01 — AGREEMENT
Accepting these terms
These Terms & Conditions (“Terms”) govern your access to and use of shawkstudio.com (the “Site”) and any software products published by Sound Hawk Studio, including ComboDyn (the “Software”). By visiting the Site, downloading, installing, or using the Software, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Site or Software. We reserve the right to update these Terms at any time. Continued use of the Site or Software following notice of changes constitutes your acceptance of the revised Terms.

02 — LICENSE GRANT
What you're licensed to do
Subject to your compliance with these Terms and payment of any applicable fees, Sound Hawk Studio grants you a limited, non-exclusive, non-transferable, revocable license to install and use Combo Dyn on your own computers for your personal or professional audio production purposes.
This license does not include the right to:

Copy, reproduce, or distribute the Software or any portion of it

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

Modify, adapt, translate, or create derivative works based on the Software

Rent, lease, lend, sell, sublicense, or otherwise transfer the Software or your license to any third party

Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
Beta versions of the Software are provided for testing purposes only. Beta licenses may not be used for commercial production work and must not be redistributed in any form.

03 — INTELLECTUAL PROPERTY
Ownership of the Software
Combo Dyn, its underlying code, DSP algorithms, audio processing architecture, user interface, documentation, and all related materials are the exclusive intellectual property of Sound Hawk Studio and are protected by copyright law and applicable international treaties.
These Terms do not transfer any ownership rights to you. You acquire only the right to use the Software as described in Section 02. All rights not expressly granted are reserved by Sound Hawk Studio.
"Sound Hawk Studio," "ComboDyn," and associated logos and product names are the property of Sound Hawk Studio. You may not use these names or marks in any way that implies endorsement, affiliation, or sponsorship without our prior written consent.

04 — COPY PROTECTION
Licensing and copy protection
ComboDyn uses PACE Anti-Piracy technology for license management and copy protection. Activation of your license may require an iLok account or iLok USB key. Use of iLok and the PACE Eden platform is subject to PACE Anti-Piracy's separate terms and privacy policy.
You agree not to attempt to circumvent, disable, or interfere with the copy protection or license enforcement mechanisms in the Software. Any such attempt constitutes a material breach of these Terms and may result in immediate termination of your license without refund.

05 — PAYMENT & REFUNDS
Purchases and refund policy
All purchases of ComboDyn licenses are made through our authorized payment processor. Prices are displayed in US dollars and are subject to change without notice. Applicable taxes may be added at checkout depending on your jurisdiction.
Because ComboDyn is downloadable software, all sales are generally final once the license has been issued and activated. We will consider refund requests made within 14 days of purchase where:

The Software cannot be installed or run on a system that meets the published minimum requirements

A material defect in the Software is confirmed and cannot be resolved through a reasonable software update
Refunds are not available for change of mind, incompatibility with systems below the published minimum requirements, or dissatisfaction with creative results. To request a refund, contact us at the address in Section 10.

06 — ACCEPTABLE USE
How you may not use our site or software
You agree not to use the Site or Software to:

Violate any applicable law or regulation

Infringe the intellectual property rights of Sound Hawk Studio or any third party

Transmit any malicious code, viruses, or harmful data

Attempt to gain unauthorised access to any part of the Site or our systems

Scrape, index, or harvest content from the Site without our express written consent

Impersonate Sound Hawk Studio or misrepresent your affiliation with us

07 — DISCLAIMER OF WARRANTIES
Software is provided as-is
THE SOFTWARE AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUND HAWK STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Software will be error-free, uninterrupted, or free of defects, or that defects will be corrected. We make no warranty regarding the results you will obtain from use of the Software.
In plain terms: audio software operates in complex, varied studio environments. We build ComboDyn to the highest standard we can, but we cannot guarantee it will work perfectly in every DAW configuration.

08 — LIMITATION OF LIABILITY
Limits on our responsibility
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUND HAWK STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, SOUND HAWK STUDIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

09 — GOVERNING LAW
Jurisdiction and disputes
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in the United States.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
